Summary

Looking for an experienced professional who will provide proactive and strategic counsel to help the business accomplish goals in a legally compliant manner on a variety of significant legal matters.  The Senior Counsel will regularly interact with senior management and have substantial discretion in addressing legal concerns and leading teams in evaluating and resolving legal issues.   Position includes promoting and maintaining the principles of and responsibilities related to Responsible Care.  This position operates in a matrix organization, and is a member of worldwide group of legal experts.

 

 

RESPONSIBILITIES

  • Lead and advise senior management on significant transactional, litigation, employment, compliance or other general corporate law matters
  • Identify emerging regulatory and policy issues and advise on the legal aspects and implications of federal or state regulations or laws affecting the Company and its business operations
  • Manage complex legal matters including developing and recommending legal strategy regarding major legal actions
  • Engage and manage outside counsel as neede
  • Assist with developing policies and procedures to ensure legal compliance
  • Advise senior management on risk and direct management on ensuring compliance with Company policies and procedures
  • Represent Company in legal and regulatory proceedings
  • Lead and direct special projects
  • Prepare and present training materials to management on various legal topics and issues
  • Supervise and mentor team, as needed (i.e., Junior Attorneys, Paralegal, ESHQ Lead, Communications Lead, Compliance Lead, etc.)
  • Maintain an up-to-date and effective knowledge of Company products and service offerings
  • Assist with department administration and reporting as needed
  • Travel (some international) may be required (10-15%)
     
 

REQUIREMENTS

  • Minimum of 10 years of relevant legal experience with a major law firm, regulatory agency or business entity required. In-house experience, preferred. International experience a plus.

  • JD from an ABA accredited law school with solid academic credentials.

    • State law license in good standing

  • Exhibits technical and operational mastery of a subject area

  • Strong verbal and written communication skills

  • Strong analytical skills

  • Demonstrates adaptability and flexibility

  • Experience supervising and managing a team, required.

  • Ability to develop innovative solutions for difficult, complex and systemic issues that may have precedent-setting implications for the Company

  • Proven ability to manage complex legal issues and major projects

  • Ability to initiate and coordinate projects

  • Proven ability to deal tactfully and confidently with internal and external customers

  • Ability to work independently and as part of a team

  • Ability to prioritize and manage numerous tasks quickly, accurately and efficiently and have excellent organizational skills
